Breathe With Me, LLC – End User License Agreement (EULA)
Effective Date: 07/23/2025

This End User License Agreement (“Agreement”) is a legal contract between you (“User”) and Breathe With Me, LLC (“Company”, “we”, “us”, or “our”), governing your access to and use of the BreatheWithMe mobile application (“App” or “Software”).

By installing, registering, or using the App, you agree to be legally bound by this Agreement. If you do not accept all the terms, do not install or use the App.

1. LICENSE GRANT

We grant you a revocable, non-exclusive, non-transferable, subscription-based license to install and use the App for individual, personal wellness use.

This license:

• Permits use on one device at a time
• Applies to users 13 years or older, or under parental consent and supervision
• Prohibits resale, re-licensing, or commercial distribution unless explicitly authorized

2. ACCOUNT TYPES & SUBSCRIPTIONS

The App includes the following subscription options:

• Free Access – Limited features
• Premium Access ($5/month) – Full feature access
• Ambassador ($10/month) – Full feature access plus affiliate earnings (20% per connected subscriber, recurring)
  • Users can earn free Premium status after referring and retaining 5 users per month, and free Ambassador status after referring and retaining 10 users per month
  • Referrals are tracked by personal QR codes; commissions are subject to change without prior notice

All accounts and referral activities must comply with the App’s Terms of Use. Referral fraud or impersonation will result in immediate account suspension and revocation of coins accrued.

3. RESTRICTIONS

You may not:

• Copy, alter, reverse-engineer, or create derivative works from the App
• Distribute, resell, lease, or sublicense the App
• Circumvent or bypass access controls or premium features
• Use or promote the App in a misleading, fraudulent, or dangerous manner
• Operate the App while driving, using machinery, or in any hazardous setting
• Share your account with others or simulate referrals through self-created accounts

4. DEVICE LIABILITY & SAFETY

If you use a physical Device in conjunction with the App, you do so voluntarily and at your own risk.

You expressly acknowledge:

• The App or Device is not a medical device and is not approved for therapeutic use
• Use may cause increased circulation, dizziness, or altered states
• Use is prohibited while under the influence of alcohol, or when your attention is required elsewhere
• You assume full responsibility for safe and mindful use

You are strongly advised to consult a physician before using the Device if you have medical conditions such as hypertension, heart disease, or breathing disorders.

The Company disclaims all liability for harm caused by use of the Device or App

5. DATA COLLECTION & PRIVACY

The App collects personal and technical data including:

• Name, email, location
• Device model, app usage patterns

We use this data to:

• Provide and improve services
• Support subscription billing
• Offer analytics and customer support

6. INTELLECTUAL PROPERTY

The App, its content, and all intellectual property rights belong exclusively to Breathe With Me, LLC.

Users may not remove copyright notices, reverse-engineer the software, or claim rights to the app’s interface, concept, or breathing techniques created.

Suspected infringements should be reported to support@bwmeapp.com.

7. TERMINATION

This license may be terminated without notice if you:

• Breach this Agreement or the related Terms
• Share your account, simulate referrals, or abuse the Ambassador system
• Use the App while distracted or in violation of safety guidelines

Upon termination, your license is revoked. You must uninstall the App, and any earned ambassador benefits may be forfeited.

8. DISCLAIMER OF WARRANTIES

The App is provided “as is” with no express or implied warranties. This includes:

• No warranty of fitness for a particular purpose
• No guarantee of uninterrupted access or functionality
• No assurance that results will match any expected physical, mental, or spiritual outcomes

9. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

• We are not liable for any indirect, incidental, special, or punitive damages
• We are not responsible for injuries or health issues related to the Device or App
• For technical issues or confirmed service failures, our maximum liability is limited to one month’s subscription fee

10. UPDATES & MODIFICATIONS

We reserve the right to update this Agreement at any time. Users will be notified via:

• App notification
• Email to the account on file

Continued use after an update constitutes agreement to the revised terms.

11. GOVERNING LAW

This Agreement is governed by the laws of the United States, specifically the State of California. All disputes shall be resolved in courts located in Sacramento, CA.

12. ACCEPTANCE

By installing or using the App, you:

• Confirm you are authorized to agree
• Understand and accept this Agreement
• Acknowledge that related terms (Privacy Policy, Liability Waiver, Ambassador Program, etc.) also apply
