Breathe With Me, LLC – Ambassador Program Agreement

This Ambassador Program Agreement (“Agreement”) is made between Breathe With Me, LLC (“Company,” “we,” “our,” or “us”) and the individual applying to participate in the Breathe With Me Ambassador Program (“Ambassador,” “you,” or “your”).

By participating in our Ambassador Program, you agree to be bound by the terms of this Agreement.

Definitions:
“Referral” means a new user who registers through your unique link or QR code and subscribes to a paid plan. “Coin” means a reward point accrued per active subscribers billing cycle. “Ambassador Plan” and “Premium Plan” refer to the subscription tiers as defined in our Terms of Service.

Eligibility To qualify as an Ambassador, you must:

• Be at least 18 years old;
• Have an active Breathe With Me user account;
• Subscribe to the Ambassador Plan ($10/month) or Premium Plan ($5/month);
• Agree to this Agreement and the Breathe With Me Terms of Service, Privacy Policy, and Acceptable Use Policy.

Referral Tracking & Attribution

• Ambassadors will be assigned a unique referral link and QR code.
• Any user who registers for the app through this link/QR will be tracked under your Ambassador profile.
• The new user will be notified at registration that they are signing up under your referral.

Commission & Coins

• You will receive 20% per active referral per month based on the referred user’s subscription plan.
• For each $5 subscription plan referred, you will receive 1 Coin which currently equates to $1 per month the user remains subscribed.
• For each $10 subscription plan referred, you will receive 2 Coins which currently equates to $2 per month.
• Cash commissions are only available to Ambassadors on the $10/month Ambassador Plan.
• Ambassadors on the $5/month Premium Plan may accumulate coins only for in-app access; they may not redeem for cash.

Coin Payouts

• Coins can be redeemed for cash once you accumulate 50 Coins.
• Payouts are processed manually via PayPal.
• An annual payout and reset will occur mid-December for all outstanding coin balances.
• All Coin balances reset annually unless otherwise communicated.

Termination, Suspension & Fraud

• We reserve the right to pause, suspend, or cancel your Ambassador status at any time, without notice, for any reason, including but not limited to suspected abuse, fraud, or violations of our Terms.
• Abuse includes, but is not limited to:
  • Self-referrals or manipulating the referral system;
  • Use of misleading marketing tactics;
  • Creation of fake accounts.
• If found to be abusing the program, your account may be terminated and all unpaid commissions or coins forfeited. If commissions have been paid to coins determined to be fraudulent, Breathe With Me, LLC has the right to seek full repayment as well as seek additional payment for damages.

Marketing Restrictions

• You may not make any health, therapeutic, or medical claims about the app or the Breathe With Me Device.
• You may promote only the approved features of the app and the wellness-focused nature of the program.
• No affiliate disclosure is required, but the app will clearly indicate to new users that they have been referred by you.

Program Changes

• The Company reserves the right to modify the commission rate, coin structure, or payout methods at any time, with or without prior notice.
• Continued participation in the program after a change constitutes your acceptance of those changes.

Limitation of Liability

• We are not liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this program.
• Our total liability shall not exceed the amount of commissions actually paid to you.

Governing Law This Agreement is governed by and construed in accordance with the laws of the State of California, in the county of Sacramento, without regard to its conflict of laws principles.
